2. Description of Service

Milaan ERP Solutions provides enterprise resource planning software that includes but is not limited to:

• Financial accounting and bookkeeping
• Inventory and stock management
• Customer relationship management (CRM)
• Human resource management (HRM)
• GST compliance and filing
• Reporting and analytics
• Point of sale (POS) systems

3. User Accounts and Responsibilities

Account Creation:

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized access
• One person or entity may not maintain multiple accounts

Acceptable Use:

• Use the service only for lawful business purposes
• Comply with all applicable laws and regulations
• Not interfere with or disrupt the service
• Not attempt to gain unauthorized access to any part of the service

4. Subscription and Payment Terms

Subscription Plans:

Our services are offered through various subscription plans with different features and pricing. Current plans and pricing are available on our website.

Payment:

• Subscription fees are billed in advance
• Payments are non-refundable except as expressly stated
• We may change pricing with 30 days advance notice
• Late payments may result in service suspension

Free Trial:

We offer a 14-day free trial for new users. No payment information is required during the trial period.

5. Data Ownership and Backup

You retain ownership of all data you input into our system. We provide:

• Data export capabilities
• 90-day data retention after account termination
• Secure data deletion procedures

6. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance. We are not liable for:

• Service interruptions due to maintenance
• Third-party service failures
• Force majeure events
• Internet connectivity issues

7. Intellectual Property

The Milaan ERP software, including its design, functionality, and content, is protected by intellectual property laws. You are granted a limited, non-exclusive license to use the software according to your subscription plan.

Restrictions:

• No reverse engineering or decompilation
• No redistribution or resale of the software
• No removal of copyright or proprietary notices
• No creation of derivative works

8. Limitation of Liability

To the maximum extent permitted by law, Milaan ERP Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services. Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Milaan ERP Solutions from any claims, damages, or expenses arising from your use of the service, violation of these terms, or infringement of third-party rights.

10. Termination

By You:

You may cancel your subscription at any time with 30 days notice. Your data will remain accessible during the notice period.

By Us:

We may terminate your access for violations of these terms, non-payment, or other reasonable business reasons with appropriate notice.

11. Compliance and Legal Requirements

Our software is designed to help with GST compliance and Indian accounting standards. However, you remain responsible for:

• Accuracy of data entered into the system
• Compliance with all applicable laws and regulations
• Proper use of generated reports and documents
• Timely filing of required returns and documents

12. Updates and Modifications

We reserve the right to modify these terms at any time. Material changes will be communicated via email or service notifications. Continued use of the service after changes constitutes acceptance of the new terms.

13. Governing Law

These terms are governed by the laws of India. Any disputes shall be resolved in the courts of competent jurisdiction in India.
