Terms of Service

Welcome to Milaan ERP. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Milaan ERP Solutions ("Milaan ERP," "we," "us," or "our") regarding your use of our cloud-based ERP and business management software and related services.

By accessing, registering for, or using Milaan ERP services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our services.

For the purposes of these Terms:

• "Service" refers to the Milaan ERP cloud-based software platform, including all features, modules, mobile applications, and related services.
• "Account" means your registered user account that allows access to the Service.
• "Subscription" refers to your paid plan (Professional, Business, or Enterprise) or free trial period.
• "User Data" means all data, content, and information you upload, store, or process using the Service.
• "Authorized Users" are individuals you authorize to access your Account under your Subscription.
• "Documentation" refers to user guides, help articles, and technical documentation provided by Milaan ERP.

3.1 Registration Requirements

To use Milaan ERP, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete information
• Maintain and update your account information
• Have the legal capacity to enter into binding contracts

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your Account
• Notifying us immediately of any unauthorized access
• Using strong passwords and enabling two-factor authentication

3.3 Account Restrictions

You may not:

• Share your Account with others
• Create multiple Accounts for the same business
• Use another person's Account without permission
• Sell, transfer, or sublicense your Account

4.1 Free Trial

• We offer a 14-day free trial with full feature access
• No credit card required for trial signup
• Trial automatically expires unless you subscribe
• One trial per business/organization

4.2 Paid Subscriptions

Subscription Plans:

• Professional: ₹12,999/year (up to 2 users)
• Business: ₹24,999/year (up to 4 users)
• Enterprise: ₹39,999/year (up to 6 users)

4.3 Billing & Payment

• Subscriptions are billed annually in advance
• All prices are in Indian Rupees (INR) and include applicable GST
• Payment is due immediately upon subscription
• We accept credit cards, debit cards, and online banking
• Failed payments may result in service suspension

4.4 Renewals & Cancellations

• Subscriptions auto-renew annually unless cancelled
• You can cancel anytime from your account settings
• Cancellations take effect at the end of the current billing period
• No refunds for partial months or unused time

4.5 Price Changes

We reserve the right to modify subscription prices. Price changes will:

• Not affect your current subscription term
• Be communicated 30 days in advance
• Apply upon your next renewal

5.1 Permitted Use

You may use Milaan ERP for:

• Legitimate business operations and management
• Managing inventory, billing, and accounting
• Storing business-related data and information
• Generating reports and analytics

5.2 Prohibited Activities

You must NOT:

• Violate any laws, regulations, or third-party rights
• Upload malicious code, viruses, or harmful software
• Attempt to hack, reverse engineer, or compromise the Service
• Use the Service for illegal activities or fraud
• Scrape, mine, or extract data using automated means
• Interfere with other users or our infrastructure
• Resell or redistribute the Service without permission
• Upload illegal, offensive, or inappropriate content
• Exceed usage limits or abuse system resources

6.1 Your Data

You retain all ownership rights to your User Data. We claim no intellectual property rights over the content you upload to the Service.

6.2 License to Use Your Data

By using the Service, you grant us a limited license to:

• Store, process, and transmit your User Data
• Perform backups and disaster recovery
• Provide technical support and troubleshooting
• Generate anonymized analytics and insights

6.3 Data Export & Portability

You can export your data at any time in standard formats (CSV, Excel, PDF).

6.4 Data Deletion

Upon account termination, your data will be:

• Available for export for 90 days
• Permanently deleted after 90 days
• Removed from backups within 30 days

7.1 Our Rights

Milaan ERP and all related software, technology, trademarks, and content are owned by Milaan ERP Solutions and protected by intellectual property laws.

We retain all rights, title, and interest in:

• The Milaan ERP software and platform
• All features, functionality, and improvements
• Trademarks, logos, and branding
• Documentation and training materials
• Aggregated, anonymized usage data

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service during your subscription term, subject to these Terms.

7.3 Restrictions

You may not:

• Copy, modify, or create derivative works
• Reverse engineer or decompile the software
• Remove or alter proprietary notices
• Use our trademarks without written permission

8.1 Service Availability

We strive to provide 99.9% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable for:

• Scheduled maintenance (with advance notice)
• Emergency repairs or security updates
• Circumstances beyond our control (force majeure)

8.2 Disclaimer of Warranties

We do not warrant that:

• The Service will be error-free or uninterrupted
• Defects will be corrected immediately
• The Service will meet your specific requirements
• Results obtained will be accurate or reliable

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9.1 Exclusions

We are not liable for:

• Loss or corruption of your data
• Business interruption or lost revenue
• Third-party actions or integrations
• Your violation of these Terms
• Unauthorized access to your Account

10.1 Termination by You

You may terminate your Account at any time by:

• Cancelling your subscription from account settings
• Contacting our support team

10.2 Termination by Us

We may suspend or terminate your Account if:

• You violate these Terms
• Payment fails or is disputed
• We suspect fraudulent or illegal activity
• Required by law or regulatory authority

10.3 Effect of Termination

Upon termination:

• Your access to the Service will cease immediately
• You have 90 days to export your data
• No refunds for unused subscription time
• All licenses granted to you will terminate

You agree to indemnify, defend, and hold harmless Milaan ERP Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any laws or regulations
• Your User Data or content
• Infringement of third-party rights

We reserve the right to modify these Terms at any time. When we make changes, we will:

• Update the "Last Updated" date
• Notify you via email or in-app notification
• Provide 30 days' notice for material changes

Your continued use of the Service after changes constitutes acceptance of the updated Terms. If you disagree with the changes, you must stop using the Service and cancel your Account.

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India.

13.3 Dispute Resolution

Before filing any legal action, you agree to:

• Contact us to attempt informal resolution
• Provide 30 days to resolve the dispute
• Consider mediation or arbitration

13.4 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
